These Terms of Service (“Terms”) govern the agreement between Satori Consulting Corp doing business as Satori Models & Talent (“we,” “us,” or “our”) and our clients (“you” or “your”) for the provision of modeling and talent services. By signing a service agreement with us, you agree to be bound by these Terms. If you do not agree to these Terms, please do not proceed with hiring our services.
1. Acceptance of Terms
By entering into a service agreement with Satori Models & Talent, you acknowledge that you have read, understood, and agree to these Terms.
2. Use of Services
2.1. Service Agreement:
All services provided by Satori Models & Talent are subject to a signed service agreement. The agreement outlines the specific services to be provided, including the booking of models and talents, the scope of work, and any other relevant details.
2.2. License to Use Content:
By hiring our services, you grant us the right to use images, videos, and other content produced during the projects involving our talents for display on our website and social media platforms. This includes but is not limited to promotional materials and portfolio showcases. If you do not agree to this, you must notify us in writing before the project begins.
2.3. Unauthorized Use:
Unauthorized use or duplication of any materials on our website or provided services is strictly prohibited. This includes using our models, images, or any other content for purposes not expressly agreed upon in writing.
3. Payment Terms
3.1. Fees:
Payments for services provided by Satori Models & Talent are due as specified in the invoice or service agreement.
3.2. Deposit:
A deposit, typically 50% of the total service fee, is required to confirm and secure our services. This deposit is non-refundable unless otherwise specified in writing.
3.3. Late Payment:
In the event of late payment, Satori Models & Talent reserves the right to suspend or terminate services until payment is made in full. Additional late fees may apply as specified in the service agreement.
3.4. Payment Methods:
We accept payment via credit card, bank transfer, or other methods specified in the service agreement. You agree to provide accurate and complete payment information.
4. Content Use and Intellectual Property
4.1. Ownership:
All content on our Site, including but not limited to text, graphics, logos, images, and software, is the property of Satori Consulting Corp dba Satori Models & Talent or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.
4.2. Use of Client Content:
By hiring our services, you grant us the right to use images, videos, and other content produced during the projects involving our talents for display on our website and social media platforms. 4.3. User-Generated Content:
If you submit any content to us, including but not limited to reviews, comments, or images (“User Content”), you grant us a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, and distribute your User Content in connection with our Services.
5. Termination
5.1. Termination by Client:
You may terminate the service agreement by providing written notice to Satori Models & Talent. However, any deposits paid are non-refundable unless otherwise agreed upon in writing.
5.2. Termination by Satori Models & Talent:
We reserve the right to terminate the service agreement at any time, without notice, for conduct that we believe violates these Terms or is harmful to us, our models, or other clients. Any fees paid up to the point of termination will be retained by Satori Models & Talent.
6. Limitation of Liability
In no event shall Satori Models & Talent, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; or (iii) any other matter relating to the Site or Services.
By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
7. Indemnification
You agree to indemnify, defend, and hold harmless Satori Consulting Corp dba Satori Models & Talent and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees and costs, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.
9. Changes to These Terms
